TERMS AND CONDITIONS OF SALE
ACCEPTANCE OF ORDERS
All quotations, proposals, acknowledgments, invoices, and sales orders issued by United Chain Inc. ("Seller") are expressly conditioned upon Buyer's acceptance of these Terms and Conditions of Sale. Any additional or conflicting terms proposed by Buyer are rejected unless expressly agreed to in writing by an authorized officer of Seller.
PRICES
Prices are subject to change without notice until Seller accepts Buyer's order. Accepted orders shall be invoiced at the prices stated in Seller's acknowledgment or sales order confirmation. Unless otherwise stated, prices do not include freight, insurance, taxes, duties, tariffs, installation, or other charges, which shall be paid by Buyer.
PAYMENT TERMS
Unless otherwise agreed in writing, payment terms are Net 30 days from invoice date. Buyer shall pay all invoices without offset, deduction, withholding, or counterclaim. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Buyer shall reimburse Seller for all collection costs, including reasonable attorney fees.

Delivery dates are estimates only and are not guaranteed.
TERMS AND CONDITIONS OF PURCHASE
ACCEPTANCE
This Purchase Order constitutes Buyer's offer to purchase goods and/or services subject exclusively to these Terms. Any additional or different terms proposed by Seller are expressly rejected unless accepted in writing by an authorized officer of Buyer.
DELIVERY
Time is of the essence. Seller shall deliver goods and services in accordance with Buyer's required delivery schedule. Buyer may cancel all or part of any PO and procure substitute goods or services if Seller fails to deliver on time.
PRICE
Prices are firm and shall not be increased without Buyer's prior written approval.
PAYMENT
Unless otherwise stated on the PO, payment terms are Net 30 days from the later of receipt of conforming goods/services or a correct invoice. Buyer may offset amounts owed by Seller.
TITLE AND RISK OF LOSS
Risk of loss and title remain with Seller until goods are delivered to and accepted by Buyer.
INSPECTION AND WARRANTY
Buyer may inspect goods before or after delivery. Warranty coverage extends for 36 months from installation or 48 months from delivery, whichever occurs later.
CHANGES
Buyer may change quantities, specifications, drawings, delivery schedules, packaging requirements, or shipping instructions.
